Ms. Meng-Hua Huang has served as an independent director of
the Company for three consecutive terms. In accordance with
Article 5 of ”Regulations Governing Appointment of Independent
Directors and Compliance Matters for Public Companies” ,the
Company should announce the reasons for continuing to nominate
her as independent director.
6.Countermeasures:
Ms. Meng-Hua Huang has professional experience in financial
accounting and corporate governance. She has made significant
contributions to the operation of the Board and the Company's
business. Despite having served three consecutive terms as an
independent director of the Company, the Company still relies
on her professional capabilities and the independent function
of supervising the board of directors. Therefore, it is
proposed to continue to nominate her as independent director
of the Company in this election.
